2. Scope of the service

LTDefend is a SaaS service for assessing and managing the cybersecurity risk of businesses and organizations.

The service may include questionnaires, result processing, Security Scores, AI-assisted analyses, reports, and operational recommendations. Features may evolve over time without affecting rights already acquired by the customer.

3. Intended users and accounts

The service is primarily intended for businesses, professionals, and organizations. Anyone registering on behalf of an organization represents that they are authorized to act for it.

Users are responsible for the accuracy of the information provided, the confidentiality of credentials, and activities performed through their account. Unauthorized use must be reported promptly.

4. Plan, duration, price, and quota

The Annual Plan is offered under the conditions displayed at checkout before payment.

• Price: EUR 799.00 per company.
• Duration: 12 months from activation.
• Three complete assessments included during the annual period.
• One-time advance payment through PayPal.
• No automatic renewal or automatic charge at expiry.

At expiry, a new annual period must be purchased under the conditions then available. The price, duration, and quota shown at checkout govern the individual transaction.

5. Payment and activation

Payment is processed through PayPal, whose own terms may also apply.

The Annual Plan is activated only after server-side payment confirmation. An authorization or approval screen that has not yet been confirmed does not constitute final activation.

6. Renewal, cancellation, refunds, and withdrawal

The Annual Plan has a fixed term and does not renew automatically. Account cancellation or a request to stop the service does not automatically refund the purchased period.

Refund requests are assessed under applicable law, the circumstances, delivery status, and any mandatory customer rights. When a full refund is approved, the related access may be revoked, subject to legal obligations.

7. Permitted use

Users must use LTDefend lawfully and only for systems, data, and organizations for which they hold the necessary authorization.

Compromising third-party systems, infringing rights, introducing malicious code, bypassing security controls, attempting unauthorized access, or using the service for illegal activities is prohibited.

8. Assessments and artificial intelligence outputs

Assessments, scores, AI analyses, reports, and recommendations are decision-support tools. They also depend on user-provided data and may contain inaccuracies, omissions, or assumptions.

Outputs must be reviewed in the organization’s real context and do not replace qualified legal, tax, technical, or professional advice where required.

9. Availability, maintenance, and changes

LTDefend may perform maintenance, security updates, and technical changes. Temporary interruptions may occur for operational, security, or third-party reasons.

Specific service levels or commitments apply only when expressly agreed in writing.

10. Intellectual property and licence

LTDefend software, interfaces, structure, documentation, trademarks, and materials remain protected by the relevant intellectual-property rights.

For the plan term, the customer receives a limited, personal, non-exclusive, non-transferable, and revocable right to use the service for lawful internal purposes. Unauthorized reproduction, resale, or distribution is prohibited.

11. Personal data, privacy, and providers

Personal-data processing is governed by the Privacy Policy; cookies and similar technologies are governed by the Cookie Policy.

Customers must ensure an appropriate legal basis for submitted data and must not enter unnecessary information or data they are not authorized to process. Technical providers and subprocessors may be used as described in the applicable privacy documentation.

12. Suspension and termination

LTDefend may suspend or terminate access for material breaches, non-payment, security risks, abuse, legal obligations, or to protect the service and its users.

Effects on access, export, deletion, and retention of data are governed by the applicable contractual and privacy documentation.

13. Service limitations and liability

LTDefend does not guarantee the absence of vulnerabilities, future incidents, or automatic compliance with laws, standards, or frameworks. The service does not issue certifications.

The customer remains responsible for operational decisions, reviewing recommendations, and adopting security measures appropriate to its risk.

Nothing excludes or limits liability or rights where such exclusion or limitation is not permitted by applicable law.

14. Version and acceptance of the Terms

The published version is identified by a version number and effective date. LTDefend may retain evidence of acceptance associated with the user.

Material changes may require renewed acceptance or advance notice through the applicable channels.

15. Governing law and jurisdiction

These Terms and the contractual relationship are governed by Italian law, without prejudice to mandatory rights that may apply.

For customers acting in their business, commercial, or professional capacity, the Court of Novara has exclusive jurisdiction over contractual disputes, except where territorial jurisdiction is mandatory.

Where mandatory consumer-protection rules apply, they prevail over incompatible provisions of these Terms.

16. Billing and sales documents

LTDefend issues the tax and sales documents required by applicable law using the information supplied by the customer.

The customer is responsible for accurate and up-to-date billing data. Tax documents are issued under the tax regime applicable to LTDEFEND DI TERFAI LYES — VAT IT02764150039.
